By participating, you agree to release and hold harmless Rising Spirit and its advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Parties”), from and against any liability, loss, claims or causes of action arising out of participation in the Promotional Offer and/or receipt, use or misuse of any Benefit, including, but not limited to: (a) unauthorized human intervention in the Promotional Offer; (b) technical, mechanical or printing errors; (c) the administration of the Promotional Offer (including any errors) and/or the processing fulfillment or redemption of requests; (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Promotional Offer or receipt or use of any Benefit; and/or (e) a partner’s failure to Redeem the Benefit for whatever reason. You further agree that in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
1. Arbitration: EXCEPT FOR A CLAIM THAT MAY BE BROUGHT IN SMALL CLAIMS COURT, YOU AND RISING SPIRIT AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.
Any and all disputes between you and Rising Spirit, its agents, employees, officers, directors, principals, successors, assigns, subsidiaries, affiliates, or independent contractors, (collectively for purposes of this section, Rising Spirit), including disputes arising from or relating to these Terms of Use, the Privacy Policy, Autoship Terms and Conditions, Promotional Offers Terms & Conditions and other Terms and Conditions associated with Rising Spirit and their interpretation or the breach, termination or validity thereof, any purchase on www.risingspirithealing.com, communications between you and Rising Spirit, the reliance on any advice provided by such independent contractors, or other products, programs, services or promotions provided by Rising Spirit. including disputes about the validity, scope or enforceability of this arbitration provision (collectively, "Covered Disputes") will be settled by binding arbitration administered by the JAMS, Inc. under its rules applicable to consumer disputes, in effect on the date thereof. Information on JAMS and how to start arbitration can be found at www.jamsadr.com or by calling 800-352-5267. For purposes of this section, these Terms of Use and related transactions will be subject to and governed by the Federal Arbitration Act, 9 U.S.C. sec. 1-16 (FAA). To the extent state law applies to any portion of a proceeding brought by you or us, the applicable law will be the law of the state of your residence, as determined based on your shipping address on file with risingspirithealing.com. Except for a demand determined by an arbitrator or court to be frivolous, Rising Spirit will pay up to $10,000 in costs and expenses that otherwise might be due by you under the JAMS consumer arbitration rules. At your election, the arbitration will take place in the county in which you reside or, if you choose, by telephone or based on the parties’ written submissions. Notwithstanding the above, you or Rising Spirit can bring any individual claim in small claims court consistent with the jurisdictional limitations of such court.
Prior to initiating any arbitration, the initiating party will give the other party at least 60-days' advanced written notice of its intent to file for arbitration. Rising Spirit will provide such notice by e-mail to your e-mail address on file with Rising Spirit and you must provide such notice by e-mail to risingspirithealing@gmail.com During such 60-day notice period, the parties will endeavor to settle amicably by mutual discussions any Covered Disputes. Failing such amicable settlement and expiration of the notice period, either party may initiate arbitration. The arbitrator will have the power to grant whatever individual relief would be available in court under law or in equity and any award of the arbitrator(s) will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. This provision is a precondition to any arbitration demand.
RISING SPIRIT AND YOU AGREE THAT ANY COVERED DISPUTE HEREUNDER WILL BE SUBMITTED TO ARBITRATION ON AN INDIVIDUAL BASIS ONLY. NEITHER RISING SPIRIT NOR YOU ARE ENTITLED TO ARBITRATE ANY COVERED DISPUTE AS A CLASS, REPRESENTATIVE OR PRIVATE ATTORNEY ACTION AND THE ARBITRATOR(S) WILL HAVE NO AUTHORITY TO PROCEED ON A CLASS, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL BASIS. If any provision of the agreement to arbitrate in this section is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced (but in no case will there be a class, representative or private attorney general arbitration).

Autoship & Save Terms and Conditions
By purchasing a Rising Spirit subscription and selecting Autoship, you agree to accept these terms and conditions ("Terms") for our Autoship subscription ordering program ("Autoship"). The Terms constitute the entire agreement between you and Rising Spirit (and, with respect to Rising Spirit products,) relating to our Autoship program. Please note that your use of the Risingspirithealing.com website is also governed by our Terms of Use and Privacy Policy as well as all other applicable terms, conditions, limitations and requirements on the Risingspirithealing.com website, all of which (as changed over time) are incorporated into these Terms. By placing an order and enrolling in our Autoship program, you accept these terms, conditions, limitations and requirements. Please read these Terms carefully.
Benefits
When you purchase product(s) on Risingspirithealing.com and enroll in our Autoship program, you are signing up for continuous shipments of such products and may select how often you would like your product(s) delivered to you. You may change your periodic delivery schedule at any time (including on a one-time basis), as well as your shipping address, payment method, and products included in the program. Additionally, when you purchase certain products designated as "Autoship & Save" eligible, and enroll in the Autoship program for such products, you will save an additional percentage on our everyday low prices
Rising Spirit reserves the right to change Autoship benefits at any time in its sole discretion, including discount amounts and eligibility used to determine discount amounts; provided, however, Rising Spirit will not change the price of your next shipment once you have authorized an order as set forth in these Terms. Some of the offer details may change as you receive deliveries over time (for example, price, taxes, availability, shipping charges). Subscriptions are good while supplies last.
Notifications; Automatic Order Creation; Order Changes or Cancellation
When you place your initial order for a product and enroll in our Autoship program, you will receive a notice that your Autoship subscription has been created and your first order will be processed. Your first order will be processed immediately, and your selected payment method will be charged at the time the order is placed. Your Autoship subscription will thereafter automatically create a new order according to your chosen delivery schedule, until you cancel.
For subsequent orders of products included in Autoship, up to 72 hours prior to the ship date selected by you, you will receive a pre-shipment email notification reminding you of your upcoming shipment, the period available to make changes to your order and the scheduled ship date. You can edit or cancel your order during the period beginning upon receipt of such email notification and ending 12:00 AM the day preceding your designated ship date (i.e., the day prior to your ship date). If you do not cancel the order before the day prior to your ship date, your order will be authorized, and a credit card authorization hold will be placed on the payment method used to create your subscription or updated payment method you may provide. You will see a pending charge during this time as we prepare your order. There is no need to call or update any information online when you see this pending charge.
Credit Card Authorizations and Charges
When you sign up for continuous shipments on Autoship, you will be required to expressly agree to permit us to charge your chosen payment method on a recurring basis, as well as the amount of the charge, which amount shall be set as described below. Rising Spirit will submit periodic charges (e.g. monthly) to your chosen payment method without further authorization from you, until you provide prior notice at any time that you wish to cancel or to change your payment method. Approximately 24 hours prior to your designated ship date, your order will be authorized, and a payment authorization hold will be placed on your chosen payment method. Once your order is processed, your payment method will be charged for the authorized amount. For clarification purposes only, a payment authorization hold is not an actual charge, i.e, if an authorization hold is placed for $49 on January 1 and your payment method is charged $49 on January 2 when your order is shipped, you will only see one actual charge on your payment method on January 2 for $49. An authorization hold may impact the amount of remaining credit available to you under your chosen payment method.
Pricing; Payment; Renewal; Cancellation
The amount you are ultimately charged for a product delivered pursuant to our Autoship program will be the price of that item as stated in the pre-shipment email notification you receive or lower, if the price of the product is lower on our site as of the time your order is authorized. Once your order has shipped, your chosen credit card or other payment method will be billed this amount. You will not be charged until your order ships. The total cost charged to your payment method for each Autoship order will be the price of the item, less the Autoship & Save discount or any other discount, if applicable, plus any applicable shipping charges and sales tax. Any credit balances on your Risingspirithealing.com customer account may be applied toward the balance of your order before charging any remaining balance to your payment method.
The charge for each Autoship item shipment will be billed to the payment method used to create your subscription or as otherwise directed by you. If we are unable to complete your Autoship order with the payment method you used to create your subscription, we will notify you and give you the opportunity to add another payment method in your account and to charge the payment method for your Autoship order.
Your subscription will remain in effect until it is cancelled. You can cancel at any time via Autoship Manager, which can be found in Your Account.
Agreement Changes
We may, in our sole discretion, change these Terms, (including all applicable terms, conditions, limitations and requirements on the risingspirithealing.com website), without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED PARTICIPATION AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTIONS.
Additional Terms
We may, in our sole discretion, terminate your subscriptions at any time without notice. If we do so, you will only be charged for orders that have been shipped to you. Products are only available for shipping within the forty-eight (48) contiguous US states. Your participation in the Autoship program is personal to you, and you may not assign or transfer your Subscription or any of the benefits to any third party without our authorization. All returns under Autoship are subject to the risingspirithealing.com Return Policy. Autoship subscriptions are void where prohibited.
Promotional Offers Terms & Conditions

1. Promotional Offer: Unless otherwise indicated, these Promotion Terms and Conditions (“Terms”) govern all promotional offers sent by Rising Spirit, Inc. ("Sponsor") and its parent company, subsidiaries, affiliates, partners (collectively, “Rising Spirit Promotional Offers”), including offers of free items, rewards, savings, discounts and/or other benefits (collectively, “Benefits”). Offers are limited to residents of the 48 contiguous United States and D.C., aged 18 or older. Offers are limited to only the eligible products and qualifying items (collectively, “Eligible Products”) set forth in Rising Spirit’s Promotional Offers. Unless otherwise indicated, all Eligible Products must be in customer’s cart at checkout to qualify for offer and must be purchased in a single transaction. Any required spend amount refers to the purchase price of the Eligible Products and does not include tax. Some promotions that Rising Spirit offers are contingent on conditions i.e. maintaining a subscription for a designated time and failure to meet those conditions voids the promotional offer and additional charges may be applied to the your account. For example: a promotion that offers 50% off of your first box with a six month subscription may be voided if you cancel your subscription before maintaining it for six months from accepting the promotion offer, and your account would be charged the remaining 50% of the full price of the first month of products. At Rising Spirit’s sole discretion, charges may be avoided if you email us at risingspirithealing.com 24 hours prior to cancellation and arrange for full return of all promotional offer items purchased as per the terms of our return policy. Specific conditions and limitations for each offer are stated in Rising Spirit’s Promotional Offer. For exclusive offers, offer is valid only for intended recipient of Rising Spirit’s Promotional Offer email or direct mail. Duplicate requests will constitute fraud. Theft, diversion, reproduction, transfer, sale or purchase of any offer is prohibited and constitutes fraud. Void outside of the 48 Contiguous United States and the District of Columbia and where prohibited, taxed, or restricted by law. No substitutions or cash redemptions. Any applicable taxes (if any) are the sole responsibility of the Benefit recipient.
2. Benefit Conditions: Benefits are only redeemable in the manner stated in Rising Spirit’s Promotional Offers in accordance with these Terms. All Benefits are available while supplies last and subject to availability. Gift card and coupon terms and conditions apply for gift card and coupon Benefits. If you return Eligible Product(s) in accordance with the Rising Spirit’s return policy, you must return your Benefit or otherwise your refund may be void.
3. General Conditions: Rising Spirit reserves the right in its sole discretion to not redeem a Benefit of any individual it finds to be engaging in fraud or undermining the legitimate operation of this Promotional Offer or acting in an abusive, fraudulent, deceptive or disruptive manner or in violation of these Terms. Any attempt by any person to undermine the legitimate operation of the Promotional Offer may be a violation of criminal and civil law and should such an attempt be made, Rising Spirit reserves the right to seek damages from any such person to the fullest extent permitted by law. Rising Spirit reserves the right to make the final decision with respect to redemption and fulfillment of any Benefit, in its sole discretion. Rising Spirit reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Promotional Offer should (in its sole discretion) virus, bugs, epidemics, non-authorized human intervention, cheating, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Promotional Offer. Void where prohibited or expired. Sponsor is not responsible for late, non-compliant, postage-due or misdirected requests. Requests not complying with all offer requirements will not be honored.
